GfK GeoMarketing, as licenser of the data contained on this data carrier, only transfers non-exclusive licenses to you, or the purchaser of this package or data that you represent, (the “licensee”), subject to the provisos of this license. If a third party is selling the data carrier it can only pass on licenses to the purchaser within the scope of this license. The license can not be extended through assurances by the seller. If the license terms do not meet the arrangements made at the time of the sale, the agreement has possibly not been correctly fulfilled by the seller. In this case you must deal with the seller due to this shortcoming, in accordance with the contractual and statutory provisions and if necessary withdraw from the agreement. Only GfK GeoMarketing itself is entitled to make deviating provisions for the license issued.

A) General license regulations for countries outside of the United States

GfK GeoMarketing, as licenser of the transferred databases (maps and other data) only transfers non-exclusive licenses to the licensee, subject to the provisos of this license.

§ 1 For the specific scope of the license granted, the specifications on the order/confirmation of the license or on any other license certificate at GfK GeoMarketing shall apply. If an intended purpose for the data has been individually specified therein, utilization shall only be permissible for this purpose. If a computer program has been specified therein with which the data is intended to be used, use shall only be permitted with this program. In this case, it shall not be permitted to read out raw data, which is not provided for by this program under its intended operation, and to bypass the protection against making direct copies of the vector graphics displayed. In the event of doubts, the scope of the license of the IN-HOUSE LICENSE shall apply in accordance with article 7 of these license regulations.

§ 2 Unless specifically agreed or if the license is defined as a SINGLE-USER license, the license shall apply to one user – i.e., for the use of the data at the workplace of one person. Workplace is a user’s computer (PC) or a terminal or an environment of a user (user account) restricted by the operating software on one computer. If several people can duly access the workplace, a license shall be required for each user who works with the data. This shall equally apply even if the users do not work simultaneously with the data, unless one user leaves permanently or is away for several days and is replaced by another user for this period of absence or permanently. If the license is designated as a multiple license or a multiple-user license, it shall be valid for the number of users specified.

§ 3 The licensee is exceptionally entitled within the framework of the license for one work place, to make a second installation on a laptop or to work through remote access to the work place through a network, if the second installation or the remote access is solely accessible by the user as specified in § 2.

§ 4 An express, written ASP license is required to enable use through LAN, WLAN or the Internet for third parties for their own purposes (ASP). This shall apply in particular to a publicly accessible installation on an internet server.

§ 5 If the product is designated as an update or upgrade, it may only be used in conjunction with an existing license. The update or upgrade license is only an extension of the existing license and only entitles utilization within its limits.

§ 6 With regard to the data transferred, the licensee is entitled to process the data in the framework of articles 2 and 3 and the following provisions to create his/her own documents using said data and his/her additional own data, texts or other contents.

In direct connection with the maps created using the licenser’s map data, the attribution “Map basis: GfK GeoMarketing” is to be added to these documents and in direct connection with maps, diagrams, etc. generated with the licenser’s data, the attribution “Data basis: GfK GeoMarketing” is to be added if this is not already present in the graphics created.

The modification or other use relevant to copyright (especially duplication, distribution, public accessibility) of the basic data beyond the standard use to create own documents, especially the conversion of the licensed data into other formats and removing intellectual property rights or copyright marks, names, brands or other marks or typical company designs of GfK GeoMarketing beyond the scope of the following specified licenses is prohibited.

§ 7 IN-HOUSE license
If the license purchased is designated as „IN-HOUSE license“ or if nothing more specific has been determined, it applies for the use of the licensee’s own documents generated in line with article 6, that said own documents may only be duplicated for internal company purposes and only made accessible in-house. Any further distribution or making the documents generated publicly accessible – in particular passing them on to third parties, commercial marketing or publication in magazines, books or any other form and as one’s own work – requires a special license.

Documents which contain a major part of the data transferred in terms of type and scope – may only be duplicated or made accessible through an internal network beyond the work place in a way which does not enable the licensed basic data of the graphics or images generated, in particular of vector data, to be read out.

§ 8 CONSULTANT license
A consultant license can be purchased as a special license to be directly agreed with the licenser or purchased in addition to an existing license. A consultant license entitles the licensee beyond the provisions of article 7 to pass on documents, which the licensee has generated on the basis of a specific order (project) and to make said documents accessible to a maximum of seven clients. This shall apply to documents that contain a major part of the data transferred in terms of type and scope in a form in which the licensed basic data (raw data) of the graphics or representations created – especially, the vector data – cannot be read out. For special projects, a greater number of clients can be agreed upon.

The clients may be granted the right to duplicate or make the documents generated accessible for internal purposes, but not to process the documents, distribute them further or make them publicly accessible.

The license certificate shall list the projects to which the license refers or their number. If a license code has not yet been allocated to each project in the license certificate, GfK GeoMarketing can demand that the client subsequently allocates a project to each license code granted and – on submitting a document it has produced – allocates said document to the respective project.

Furthermore, the provisions of articles 6 and 7 must apply.

§ 9 The “PUBLISHING license” entitles the licensee beyond the provisions of article 7 to publish own documents generated from the licensed data within the framework agreed – i.e., to distribute said documents and make them publicly accessible.

This shall apply to documents that contain the major part of the data transferred in terms of type and scope in a form in which the licensed basic data (raw data) of the graphics or depictions created – especially, vector data – cannot be read out.

In the framework of this license a third party may also be granted the right to publish documents generated by the licensee. The third party cannot however be granted the right to change the documents, with the exception of typical editorial interventions.

Furthermore, the provisions of articles 6 and 7 shall apply.

§ 10 If a third party offers the data, possibly as a package with its own software or data, it may only procure valid licenses to the data on the basis of a SALES or OEM license subject to a special license certificate or a written license agreement.

§ 11 A third party may only offer the data for interactive use after having obtained an ASP license subject to a special license certificate or a written license agreement.

§ 12 If a third party processes the data to form an independent product, effective licenses for this product may only be procured on the basis of a special written PRODUCTION license issued by GfK GeoMarketing.

§ 13 In the framework of the authorized usage, the licensee is entitled to make necessary copies.

This applies in particular to the standard backups of the files or the system on which the data is installed – not, however to the keeping of the data on several computers for alternating use.

In the event of the license being resold, all remaining copies must be deleted. In the case of integrated backups of the installed files (images) that cannot be directly executed, this only applies in the case of the executable system being restored. The backup copies may only be made internally accessible in the necessary scope.

§ 14 GfK GeoMarketing may terminate the license due to important reasons. An important reason in particular is a serious violation of the restrictions of the licenses granted, unauthorized distribution of copies of the data or making it publicly accessible or any other prohibited distribution. In this case all licenses granted shall expire.

§ 15 The license may not be transferred without prior agreement from GfK GeoMarketing.

On the transfer of ownership for a license, this license – unless granted following a special agreement for specific purposes or a specific project –, shall be transferred to the purchaser in accordance with legal provisions without authorization from GfK GeoMarketing in the context of the region in which the exhaustion of the copyright law in accordance with article 69c point 3 of the German Copyright Act occurred.

Any special agreements not to pass on or sell licenses shall remain unaffected. If such an agreement is violated, the transfer can be effective in terms of copyright in accordance with the information above, but can have negative consequences in terms of contract law.

Leasing, borrowing, rental or timesharing requires a special license.

§ 16 The contractual relationship with the customer shall be subject to German law, excluding the UN convention on the sale of goods.

If you are a trader as defined by the German Commercial Code or act on behalf of such trader, a legal person under public law or special fund under public law, the place of jurisdiction for any claims in connection with the contractual relationship is Karlsruhe, Germany. We are also entitled to file suit at your general place of jurisdiction.

§ 17  If the license refers to software (data) of the Tele Atlas Group that is contained in the product, the provisions printed in Supplement 1 shall apply. The marking on the data carriers, packaging and/or product description indicates if Tele Atlas BV software is contained in the licensed product.

Allgemeine Lizenzbestimmungen für Computerprogramme (Software) und Landkarten, Kartendaten und sonstige Datenbanken (Daten) der GfK GeoMarketing GmbH

GfK GeoMarketing als Lizenzgeber der überlassenen Software und Daten überträgt dem Lizenznehmer nur die nach Maßgabe dieser Lizenz bestimmten, einfachen, nicht-exklusiven Nutzungsrechte.

§ 1 Für den konkreten Umfang der eingeräumten Lizenz gelten die Angaben auf der Bestellung/Bestätigung der Lizenz bei GfK GeoMarketing oder sonstigen Lizenzurkunde. Ist dort ein Einsatzzweck individuell bestimmt, ist die Nutzung nur zu diesem Zweck zulässig. Ist dort für die überlassenen Daten ein Computerprogramm bestimmt, mit dem die Daten genutzt werden sollen, oder werden die Daten mit einem Computerprogramm gemeinsam lizenziert, ist die Nutzung nur mit diesem Programm zulässig. Nicht erlaubt ist in diesem Fall das von diesem Programm im bestimmungsgemäßen Betrieb nicht vorgesehene Auslesen der Rohdaten und die Umgehung des Schutzes vor Direktkopie der dargestellten Vektorgrafiken. Im Zweifel hat die Lizenz den Lizenzumfang der INHOUSE-LIZENZ nach § 7 dieser Lizenzbestimmungen.

§ 2 Ist nichts Näheres bestimmt, oder ist die Lizenz als solche für einen Benutzer bezeichnet, gilt die Lizenz für einen Benutzer, d.h. für die Nutzung der Software bzw. Daten auf dem Arbeitsplatz einer Person. Arbeitsplatz ist ein Computer (PC) oder ein Terminal oder eine von der Betriebssoftware auf einem Computer abgegrenzte Umgebung eines Benutzers (Benutzerkonto oder Account). Können mehrere Benutzer bestimmungsgemäß auf den Arbeitsplatz zugreifen, ist für jeden Benutzer, der mit dem Programm arbeitet, eine Lizenz erforderlich. Dies gilt auch, wenn die Benutzer nicht gleichzeitig mit dem Programm arbeiten, es sei denn, ein Benutzer fällt dauerhaft oder für mehrere Tage weg und wird für diese Zeit oder dauerhaft durch einen anderen Benutzer ersetzt. Ist die Lizenz als Mehrfachlizenz oder Lizenz für mehrere Benutzer bezeichnet, gilt sie für die angegebene Anzahl der Benutzer.

§ 3 Der Lizenznehmer ist im Rahmen der Lizenz für einen Arbeitsplatz ausnahmsweise berechtigt, eine Zweitinstallation auf einem Laptop vorzunehmen oder per Fernzugriff auf den Arbeitsplatz über ein Netzwerk zu arbeiten, wenn die Zweitinstallation oder der Fernzugriff ausschließlich für den Benutzer im Sinne des § 2 zugänglich sind.

§ 4 Für die Zugänglichmachung der Nutzungsmöglichkeit über LAN, WLAN oder Internet an Dritte zu deren eigenen Zwecken (ASP) ist eine ausdrückliche, schriftliche ASP-Lizenz erforderlich. Dies gilt insbesondere für eine öffentlich zugängliche Installation auf einem Internet-Server.

§ 5  Wenn das Produkt als Update oder Upgrade bezeichnet ist, darf es nur in Verbindung mit einer bestehenden Lizenz genutzt werden. Die Update- oder Upgrade-Lizenz stellt nur eine Erweiterung der bestehenden Lizenz dar und berechtigt nur zur Benutzung in deren Grenzen.

§ 6 Ist nichts Näheres bestimmt, gilt die Lizenz bezüglich der Software für die bestimmungsgemäße Nutzung, insbesondere die von der Software unterstützte Erstellung von analogen und digitalen Materialien.
Nicht ohne besondere Lizenz erlaubt ist die automatisierte Verarbeitung der Ausgaben der Software über deren Schnittstellen, insbesondere zum Auslesen der Quelldaten oder zur Erzeugung dynamischer Darstellungen. Nicht erlaubt ist außerdem das von der Software im bestimmungsgemäßen Betrieb nicht vorgesehene Auslesen von Daten, insbesondere das Auslesen der Gebietsdaten oder sonstiger Rohdaten, insbesondere unter Umgehung des Schutzes vor Direktkopie der dargestellten Vektorgrafiken. Unzulässig ist außerdem jede Veränderung oder De-Compilierung der Software, insbesondere die Entfernung von Urheberrechts- oder Copyrightvermerken, Namen, Marken oder sonstigen Kennzeichen oder von unternehmenstypischen Gestaltungen von GfK GeoMarketing.

Hiervon unberührt bleibt die Berechtigung zur Herstellung der Interoperabilität unabhängig hergestellter Computerprogramme gemäß § 69 e UrhG und die Berechtigung zum Test gemäß § 69 d Abs. 3 UrhG.
Vor der Durchführung von Maßnahmen zur Herstellung der bestimmungsgemäßen Nutzungsmöglichkeit ist der Lizenzgeber zu informieren. Soweit zumutbar, ist der Lizenznehmer verpflichtet, die vom Lizenzgeber daraufhin empfohlene Maßnahme zu ergreifen, einschließlich der Verwendung eines vom Lizenzgeber zur Verfügung gestellten Patches oder Updates.

Der Lizenznehmer ist bezüglich überlassener Daten berechtigt, die Daten im Rahmen der §§ 2, 3 und der folgenden Bestimmungen zu bearbeiten, um unter deren Verwendung und weiterer, eigener Daten, Texte oder sonstiger Inhalte eigene Dokumente zu erstellen.

In diese Dokumente ist im unmittelbaren Zusammenhang mit den mittels der Kartendaten des Lizenzgebers erzeugten Landkarten der Hinweis: „Kartengrundlage GfK GeoMarketing“ und im unmittelbaren Zusammenhang mit sonstigen Daten des Lizenzgebers erzeugten Landkarten, Schaubildern, etc. der Hinweis: „Datengrundlage GfK GeoMarketing“ aufzunehmen, soweit dieser nicht bereits in den erzeugten Grafiken enthalten ist.

Die Veränderung oder sonstige urheberrechtlich relevante Nutzung (insbesondere Vervielfältigung, Verbreitung, öffentlich Zugänglichmachen) der Grundlagendaten außerhalb der üblichen Nutzung zur Erstellung eigener Dokumente, insbe¬sondere die Konvertierung der lizenzierten Daten in andere Formate und die Entfernung von Urheberrechts- oder Copyrightver¬merken, Namen, Marken oder sonstigen Kennzeichen oder unternehmenstypischen Gestaltungen von GfK GeoMarketing über den Umfang der nachfolgend spezifizierten Lizenzen hinaus ist unzulässig.

§ 7 INHOUSE-Lizenz
Ist die erworbene Lizenz als „Inhouse-Lizenz“ bezeichnet oder ist nichts Näheres bestimmt, gilt für die Nutzung der gemäß § 6 hergestellten eigenen Dokumente, dass diese nur zu unternehmensinternen Zwecken vervielfältigt und nur intern zugänglich gemacht werden. Ein weitergehendes Verbreiten oder öffentliches Zugänglichmachen der erstellten Dokumente, insbesondere die Weitergabe an Dritte, der kommerzielle Vertrieb oder die Veröffentlichung in Zeitschriften, Büchern oder sonstiger Form als eigenes Werk, bedarf einer besonderen Lizenz.

Dokumente, die einen nach Art und Umfang wesentlichen Teil der überlassenen Daten beinhalten, dürfen nur in einer Form, bei der das Auslesen der lizenzierten Grundlagendaten der erzeugten Grafiken oder Darstellungen, insbesondere von Vektordaten, nicht möglich ist, erstellt, vervielfältigt oder über ein internes Netz über den Arbeitsplatz hinaus zugänglich gemacht werden.

§ 8 CONSULTANT-Lizenz
Als besondere, unmittelbar mit der Lizenzgeberin zu vereinbarende oder zusätzlich zu einer bestehenden Lizenz zu erwerbende Lizenz kann eine Consultant-Lizenz erworben werden. Diese berechtigt über die Bestimmungen des § 7 hinaus zur Weitergabe vom Lizenznehmer auf Basis eines konkreten Auftrages (Projektes) erstellter Dokumente und zur Zugänglichmachung an jeweils maximal sieben Kunden. Dies gilt für Dokumente, die einen nach Art und Umfang wesentlichen Teil der überlassenen Daten beinhalten, in einer Form,  bei der das Auslesen der lizenzierten Grundlagendaten (Rohdaten) der erzeugter Grafiken oder Darstellungen, insbesondere von Vektordaten, nicht möglich ist. Für besondere Projekte kann eine größere Anzahl Kunden vereinbart werden.

Den Kunden darf das Recht eingeräumt werden, die erstellten Dokumente zu internen Zwecken zu vervielfältigen oder zugänglich zu machen, nicht aber die Dokumente weiter zu bearbeiten, weiter zu verbreiten oder öffentlich zugänglich zu machen.

Die Lizenzurkunde bezeichnet die Projekte, auf die sich die Lizenz bezieht, oder deren Anzahl. Ist nicht bereits in der Lizenzurkunde jedem Projekt ein Lizenzschlüssel zugeordnet, kann GfK GeoMarketing verlangen, dass der Kunde nachträglich jedem überlassenen Lizenzschlüssel ein Projekt und bei Vorlage eines von ihm hergestellten Dokumentes diesem das jeweilige Projekt zuordnet.

Im Übrigen gelten die Bestimmungen der §§ 6 und 7.

§ 9 Die „PUBLISHING-Lizenz“ berechtigt über die Bestimmungen des § 7 hinaus zur Veröffentlichung, d.h. Verbreitung und öffentlichen Zugänglichmachung eigener, aus den lizenzierten Daten vom Lizenznehmer erstellter Dokumente im jeweils vereinbarten Rahmen. Dies gilt für Dokumente, die einen nach Art und Umfang wesentlichen Teil der überlassenen Daten beinhalten, in einer Form, bei der das Auslesen der lizenzierten Grundlagendaten (Rohdaten) der erzeugter Grafiken oder Darstellungen, insbesondere von Vektordaten, nicht möglich ist.

Im Rahmen dieser Lizenz kann auch einem Dritten das Recht zur Veröffentlichung von Dokumenten erteilt werden, die der Lizenznehmer erstellt hat. Dem Dritten kann jedoch nicht das Recht zur Veränderung der Dokumente übertragen werden, mit Ausnahme verlagstypischer redaktioneller Eingriffe.
Im Übrigen gelten die Bestimmungen der §§ 6 und 7.

§ 10 Bietet ein Dritter die Software oder Daten, evtl. im Paket mit eigener Soft- oder Hardware oder eigenen Daten, an, kann sich dieser gültige Lizenzen an den Daten nur auf Grundlage einer Vertriebs- oder OEM-Lizenz nach Maßgabe einer besonderen Lizenzurkunde oder eines schriftlichen Lizenzvertrages verschaffen.

§ 11 Bietet ein Dritter die Software oder Daten zur interaktiven Nutzung an, ist dies nur auf Grundlage einer ASP-Lizenz nach Maßgabe einer besonderen Lizenzurkunde oder eines schriftlichen Lizenzvertrages zulässig.

§ 12  Verarbeitet ein Dritter die Software oder Daten in ein eigenes Produkt, kann sich dieser wirksame Lizenzen an diesem Produkt nur auf Grund einer von GfK GeoMarketing schriftlich erteilten besonderen Produktionslizenz verschaffen.

§ 13  Im Rahmen der zugelassenen Nutzung ist der Lizenznehmer berechtigt, die erforderlichen Kopien anzufertigen.

Dies gilt insbesondere auch für eine Sicherheitskopie der Installationsdateien und übliche Backups des Systems, auf dem die Software betrieben wird oder die Daten verarbeitet werden, nicht aber für die Vorhaltung auf mehreren Computern zur abwechselnden Nutzung.

Bei Weiterveräußerung der Lizenz sind alle zurückbleibenden Kopien zu löschen. Bei nicht direkt ausführbaren, integrierten Backups der installierten Dateien (Images) gilt dies nur im Fall der Wiederherstellung des ausführbaren Systems. Die Sicherheitskopien dürfen nur im erforderlichen Umfang intern zugänglich sein.

§ 14 GfK GeoMarketing kann die Lizenz aus wichtigem Grund kündigen. Als wichtiger Grund gilt insbesondere eine gravierende Verletzung der Grenzen des eingeräumten Nutzungsrechts, eine unerlaubte Verbreitung oder öffentliche Zugänglichmachung von Kopien der Software oder eine sonstige unerlaubte Verbreitung. In diesem Fall entfallen jegliche eingeräumte Nutzungsrechte.

§ 15 Die Lizenz ist nicht ohne Zustimmung von GfK GeoMarketing übertragbar.

Bei einer Übertragung des Eigentums an der Lizenz geht diese, sofern sie nicht durch besondere Absprache zweck- oder projektgebunden erteilt wurde, jedoch ohne Zustimmung von GfK GeoMarketing im Rahmen des Gebietes, in dem Erschöpfung des Urheberrechts gemäß § 69c Ziff. 3 UrhG eingetreten ist, nach Maßgabe der gesetzlichen Vorschriften auf den Erwerber über.

Besondere Absprachen, Lizenzen nicht weiterzugeben oder zu veräußern, bleiben unberührt. Wird eine solche Absprache verletzt, kann die Übertragung nach dem Vorstehenden urheberrechtlich wirksam sein, aber vertragsrechtlich negative Konsequenzen haben.

Die Vermietung der Software oder Daten bedarf stets einer besonderen Lizenz.

§ 16 Soweit sich die Lizenz auf Software (Daten) der Tele Atlas Gruppe bezieht, die in dem Produkt enthalten sind, gelten ergänzend die in Anlage 1 abgedruckten Bestimmungen. Wenn Software der Tele Atlas BV in dem lizenzierten Produkt enthalten ist, ist dies an der Kennzeichnung der Datenträger, auf der Verpackung und/oder in der Produktbeschreibung erkennbar. 

Anlage 1: Besondere Bestimmungen für Tele Atlas Produkte

§ 1  Soweit von der gewährten Lizenz Produkte der Tele Atlas Gruppe erfasst werden, gewährt GfK GeoMarketing dem Lizenznehmer das Lizenzrecht als Unterlizenz. Tele Atlas wird hierdurch nicht Vertragspartei und über die Wirkung der Gewährung der Nutzungsrechte an dem lizenzierten Produkt hinaus vertraglich nicht verpflichtet.

§ 2  Die für das Vertragsverhältnis zwischen GfK GeoMarketing und dem Lizenznehmer geltenden Beschränkungen der Haftung (§ 3 der AGB der GfK GeoMarketing) gelten jedoch, soweit sich Ansprüche aus der lizenzierten Software ergeben, auch zugunsten der Unternehmen der Tele Atlas Gruppe.

§ 3  TeleAtlas ist berechtigt, die Einhaltung der Lizenzbedingungen beim Lizenznehmer zu überprüfen.

§ 4   Die lizenzierten Produkte enthalten vertrauliche und proprietäre Informationen und Materialien sowie Betriebsgeheimnisse.

§ 5  Der Lizenznehmer ist verpflichtet, die Exportbestimmungen der USA und der Europäischen Union bezüglich der lizenzierten Produkte einzuhalten, insbesondere die Bestimmungen der Dual-Use-Verordnung und der entsprechenden US-Bestimmungen, die eine Weitergabe von Daten, die zu militärischen Zwecken eingesetzt werden können, in bestimmte Drittstaaten untersagt.

§ 6  Es ist dem Lizenznehmer untersagt, die Tele Atlas MultiNet®-Daten für Norwegen zur Herstellung von allgemein verwendbaren gedruckten oder digitalen Straßenkarten zu verwenden, die den grundlegenden nationalen Produkten der Norwegian Mapping Authority ähnlich sind.  (Ein Mehrwertprodukt der Tele Atlas MultiNet®-Daten für Norwegen gilt als den grundlegenden nationalen Produkten der Norwegian Mapping Authority ähnlich, wenn ein solches Mehrwertprodukt eine regionale oder landesweite Abdeckung besitzt und zugleich in Inhalt, Maßstab und Aufmachung den grundlegenden nationalen Produkten der Norwegian Mapping Authority ähnlich ist.)

§ 7  Es ist dem Lizenznehmer verboten, die Tele Atlas MultiNet®-Daten für Polen zur Herstellung kommerzieller gedruckter Straßenkarten oder Straßenkartenprodukte zu verwenden.

§ 8  Es ist dem Lizenznehmer untersagt Tele Atlas MultiNet® Daten  von Großbritannien in einer gedruckten, publizierten Form zu nutzen, die in Produkt-Derivaten resultiert, die ohne die vorherige Genehmigung von Ordnance Survey frei vertrieben oder öffentlich verkauft werden.

Ordnance Survey und/oder die nationale Aufsichtsbehörde hat das Recht, die Einhaltung der Lizenzbedingungen beim Lizenznehmer zu überprüfen.

§ 9  Dem Lizenznehmer ist es untersagt, die  Points of Interests (POI), weder als Ganzes noch in Teilen, als Kriterium zu verwenden: (i) für die Prüfung der Kreditwürdigkeit oder die Eignung für eine Versicherung, (ii) im Zusammenhang mit der Übernahme von individuellen Versicherungen, (iii) zur Bewertung einer Person in Bezug auf ihre Anstellung oder Beförderung, Versetzung oder Nicht-Versetzung, (iv) für die Bewilligung einer Zulassung oder anderer Leistung einer Behörde, (v) für die Kontaktaufnahme mit Hinterbliebenen. Dem Lizenznehmer ist es untersagt, aus den POIs Mailing- oder Telemarketinglisten zu erstellen.

Die POIs können nur in Verbindung mit TeleAtlas Produkten genutzt werden. Suchabfragen sind nach Namen oder einer Kategorie zulässig, jedoch nicht nach allen Gewerben. Es dürfen keine Gesamtübersichten der Postleitzahlen der POIs erstellt werden, nur 1 gleichzeitig, maximal 10 pro Seite.

§ 10 Der Lizenznehmer  stimmt zu, dass  Tele Atlas® Daten von China  möglicherweise weiteren Lizenzbedingungen unterliegen. Diese können dem Lizenznehmer zur Verfügung gestellt werden, sobald sie Tele Atlas vorliegen. Die Daten von  China dürfen nicht aus China exportiert werden.

§ 11 Der Lizenznehmer  stimmt zu, dass  Tele Atlas® Daten von Taiwan  möglicherweise weiteren Lizenzbedingungen unterliegen. Diese können dem Lizenznehmer zur Verfügung gestellt werden, sobald sie Tele Atlas vorliegen.

B) General license regulations for the United States of America

§ 1 Definitions.

§ 1.1 “Agreement” means these General Terms and Conditions and any Supplements hereto, and any Order Forms that have been completed online by Customer or signed in hard copy by GfK GeoMarketing and Customer.

§ 1.2 “ASP License” means a license that allows access to the GfK Data via a LAN, WAN or the Internet to certain specified third parties or categories of third parties as specified on the applicable Order Form.

§ 1.3 “Consultant License” means the Customer can provide documents created using the GfK Data to a maxi-mum of seven of Customer’s clients, for each Consultant License, solely for such clients’ Internal Use.

§ 1.4  “Customer Data” means data input by Customer into the RegioGraph System, but excluding all GfK Data.

§ 1.5 “GfK Data” means data, databases, maps, boundaries, demographics, symbols, graphics, vectors, spreadsheets, statistics, images, links and other information provided by GfK GeoMarketing to Customer hereunder, including all raw, temporary, interim and processed copies of such information, and any and all portions, compilations, selections and arrangements of such information.

§ 1.6 “GfK GeoMarketing” means GfK GeoMarketing GmbH.

§ 1.7  “Internal Use” of an entity means such entity’s use is limited to such entity’s internal operations and access by such entity’s employees who are within such entity’s authorized number of users. Internal Use does not include any distribution or access to the GfK Data, or documents created using the foregoing, to any third parties, or other forms of publication or disclosure. Internal Use also does not include any use, modification, adaptation, creation of derivative works based upon, or distribution of the GfK Data in any manner that competes with, or otherwise harms the interests of, GfK GeoMarketing. “Internal Use License” shall mean any license that is limited to Internal Use.

§ 1.8  “Multiple User License” means a license for the number of named users specified on the applicable Order Form. Each person who accesses and uses the GfK Data shall be a named user for these purposes, even if such access or use is on a shared computer or terminal.

§ 1.9  “Order Form” means an order by the Customer for the GfK Data that is accepted by GfK GeoMarketing.

§ 1.10 “Proprietary Rights” shall mean any and all patent rights, copyrights, trademarks rights, trade secret rights, rights of publicity, rights of privacy, sui generis database rights, moral rights or other intellect-ual property or proprietary rights anywhere in the world.

§ 1.11 “Publishing License” means Customer can provide documents created using the GfK Data to any third party or make them publicly available.

§ 1.12 “Purpose” means the intended objective for the use of the GfK Data, which may be specified on the applicable Order Form.

§ 1.13 “Single-User License” means a license for one named user on a single computer or terminal.

§ 1.14 “Tele Atlas Group” means Tele Atlas North America, Inc., a licensor of map information to GfK GeoMarketing, together with the parent and affiliates of Tele Atlas North America, Inc.

§ 2 License Grant.

§ 2.1 Delivery. GfK GeoMarketing will promptly deliver to Customer the version of the GfK Data specified on the Order Form. The type of license shall be as specified on such Order Form Customer will be responsible for installation of the GfK Data in accordance with the installation instructions provided by GfK GeoMarketing and the terms and conditions of this Agreement. This Agreement does not entitle Customer to any support or maintenance services, which are available if Customer separately subscribes to and pays for such services from GfK GeoMarketing.

§ 2.2 License. Subject to the terms and conditions contained in this Agreement, GfK GeoMarketing hereby grants to Customer, a non-exclusive, non-transferable, non-sublicensable license to use the GfK Data only for the Purpose and only within the scope of the license specified on the applicable Order Form. Such license shall be an Internal Use License unless otherwise specified in the applicable Order Form. Customer may make such copies of the GfK Data that are necessary in order to operate the GfK Data for the Purpose and to make standard back-ups, but no other copies. Customer may also access and use the GfK Data via a remote access connection, provided that the GfK Data is only operating on, and the GfK Data remains stored upon, a computer that is located at Customer’s facility; and provided, further, that all usage of the GfK Data, via remote access or otherwise, remains limited to the authorized named users. If the GfK Data includes any maps produced by the Tele Atlas Group, then the supplementary terms and conditions specified in Supplement 1 shall also apply. The license does not cover updates or new versions of the GfK Data, unless Customer separately subscribes to and pays for such updates and new versions. Customer may not use the GfK Data in any manner that competes with, or otherwise harms the interests of, GfK GeoMarketing.

§ 2.3  Attribution and Copyright Notices. Customer may use the GfK Data to create its own documents provided that all such documents and output include a notice “Maps and Data Licensed by GfK GeoMarketing.” Customer shall further identify GfK GeoMarketing as the source of the data underlying such documents and output in a manner, style and form as may be reasonably specified by GfK GeoMarketing from time to time during the Term. Customer shall not delete or alter any copyright notices or other proprietary rights notices contained in or generated by the GfK Data and shall reproduce and display such notices on all copies.

§ 3 Use Restrictions.

§ 3.1  Only As Authorized. Customer agrees that it will only use the GfK Data within the scope of the license it has ordered. Customer will not make the GfK Data available to any third party for any purpose whatsoever; provided, however this shall not limit Customer’s right to create its own reports for its clients if the Customer has either a Consultant License or Publishing License. Customer shall not sell, assign, convey, sub-license or otherwise transfer its rights in and to the GfK Data without the prior written consent from GfK GeoMarketing (e.g., any reseller or OEM arrangements for the GfK Data shall require a separate written agreement with GfK GeoMarketing and such rights are not included in this Agreement). Customer shall not disassemble, decompile, decrypt, reverse engineer, create derivative works based upon, or otherwise attempt to recreate the GfK Data. Customer shall not separate data files from map files or export raw data from the GfK Data, whether in the same file format or alternative formats. Specifically, Customer will not attempt to copy or distribute vector graphics displayed within the GfK Data. Customer will not modify the GfK Data or convert GfK Data to other formats. The GfK Data shall be considered “Confidential Information” and subject to the restrictions contained in Section 9.

§ 3.2  Protection. Customer will use reasonable efforts to prevent unauthorized usage and copying of the GfK Data. Without limiting the foregoing, Customer will implement a system of controls that will control access to the GfK Data.

§ 3.3  Irreparable Harm. Customer acknowledges that any unauthorized use or disclosure of the GfK Data may cause irreparable harm and injury to GfK GeoMarketing for which there is no adequate remedy at law. In addition to all other remedies available under this Agreement, at law or in equity, Customer further agrees that GfK GeoMarketing shall be entitled to seek injunctive relief in the event Customer uses the GfK Data in violation of the licenses granted hereunder.

§ 4 Ownership.

§ 4.1  GfK Data. As between the parties and subject to the rights of its licensors, GfK GeoMarketing is the owner of all right, title and interest in and to the GfK Data and Proprietary Rights therein. GfK GeoMarketing shall also retain ownership of the physical copies of the GfK Data, notwithstanding Customer’s use and possession of same.

§ 4.2  Customer Data. As between the parties, Customer is the owner of all right, title and interest in and to the Customer Data, including all Proprietary Rights therein.

§ 4.3  GfK Data and GfK GeoMarketing Brands. As between the parties and subject to the rights of its licensors, GfK GeoMarketing retains all right, title and interest in and to the GfK Data and all modifications thereto, regardless of the form of media in which it is contained and regardless of the author of such modifications, and all Proprietary Rights therein. GfK GeoMarketing shall also retain ownership of the physical copies of the GfK Data and all modifications thereto, notwithstanding Customer’s use and possession of same.

§ 4.4  Acknowledgement. Customer acknowledges that the GfK Data includes geographic, statistical and graphical information that has been created, selected, structured and/or arranged in an original and valuable manner after a significant investment of time, effort and money by GfK GeoMarketing. Customer agrees not to take any action to jeopardize, encumber, disclose, challenge, limit or interfere with GfK GeoMarketing’s ownership and rights to the GfK Data.

§ 4.5  No Implied Licenses. Each party retains and reserves all of its Proprietary Rights subject to any express licenses granted in this Agreement. No implied licenses are granted by this Agreement or are otherwise intended between the parties

§ 5 License Fees and Payment; Audit.

§ 5.1  License Fees. In consideration for the license granted in Section 2 above, Customer shall pay in advance to GfK GeoMarketing the license fees set forth on the Order Form(s) it has signed or completed (the “License Fees”). The License Fees are non-refundable and must be received by GfK GeoMarketing prior to delivery of the GfK Data.

§ 5.2  Taxes. Customer shall be responsible for all taxes of any type, nature or description (including, but not limited to, sale, use, gross receipts, excise, import, export, income and employment taxes); provided, however, that Customer shall not be responsible for any income taxes imposed upon GfK GeoMarketing by any taxing jurisdiction, arising by virtue of the performance of this Agreement.

§ 5.3  Audit. GfK GeoMarketing shall be entitled, at its own cost, not more than once every twelve months during the Term of this Agreement and upon reasonable written notice, to review those books, records and systems of Customer which relate directly to the usage of the GfK Data. Any such audit will be for a reasonable duration and shall be conducted during Customer’s normal business hours at a location designated by Customer. GfK GeoMarketing shall cause its auditors to execute a nondisclosure agreement no less restrictive than the terms of Section 9 herein and to treat any information provided pursuant to this Section 5 as Confidential Information within the meaning of this Agreement.

§ 6 Representations and Warranties.

§ 6.1  By GfK GeoMarketing. GfK GeoMarketing represents and warrants that: (i) it has full power and authority to enter into and perform this Agreement; and (ii) the GfK Data does not contain any libelous, slanderous or otherwise defamatory materials or any materials which violate any laws, rules or regulations. Although GfK GeoMarketing makes reasonable efforts to ensure the accuracy and reliability of the GfK Data, GfK GeoMarketing, on behalf of itself and any third party licensors, makes no warranty as to the accuracy, reliability or completeness of any GfK Data. GfK GeoMarketing does not warrant that the GfK Data will meet Customer’s requirements or that it will operate error-free or without interruption. Customer acknowledges that GfK GeoMarketing and its third party licensors will not be held liable for any damages suffered or incurred by Customer or any third person arising out of any faults, interruptions, delays, inaccuracies, errors or omissions in the GfK Data. EXCEPT AS PROVIDED HEREIN, GFK GEOMARKETING DISCLAIMS ALL WARRANTIES OF ANY KIND, INCLUDING WITHOUT LIMITATION, THE IMPLIED WARRANTIES OF MERCHANTABILITY, NON-INFRINGEMENT, AND FITNESS FOR A PARTICULAR PURPOSE.

§ 6.2  By Customer. Customer represents and warrants that: (i) it has full power and authority to enter into and perform this Agreement, (ii) it will use the GfK Data in strict compliance with all applicable federal, state and local laws, rules and regulations, and in compliance with the terms of this Agreement, and (iii) it will not use the GfK Data, or any other right granted herein, in any manner that competes with, or otherwise harms the interests of, GfK GeoMarketing.

§ 7 Indemnities.

§ 7.1  By Customer. Customer agrees to defend, indemnify and hold GfK GeoMarketing and its successors, agents, officers, directors and employees harmless from and against any losses, liabilities, damages, costs and expenses (including reasonable attorneys’ fees) arising out of claims, demands or actions by third parties based upon (i) any infringement of third party Proprietary Rights by Customer Data or the combination of Customer Data with the GfK Data (if such infringement would not have occurred but for the combination) or (ii) any breach by Customer of its representations or warranties in this Agreement or breach of the restrictions and obligations with respect to usage of the GfK Data.

§ 7.2  By GfK GeoMarketing. GfK GeoMarketing agrees to defend, indemnify and hold Customer and its successors, agents, officers, directors and employees harmless from and against any losses, liabilities, damages, costs and expenses (including reasonable attorneys’ fees) arising out of claims, demands or actions by third parties based upon (i) any infringement of third party Proprietary Rights by the GfK Data, or (ii) any breach by GfK GeoMarketing of its representations or warranties in this Agreement or breach of the restrictions and obligations with respect to usage of Customer Data.

§ 7.3  Indemnity Procedures. The obligations under this Section 7 are conditioned upon the party seeking indemnification (i) giving the indemnifying party prompt written notice of any claim, action, suit or proceeding; (ii) granting complete control of the defense and settlement to the indemnifying party; and (iii) reasonably cooperating with the indemnifying party at the indemnifying party’s expense.

§ 7.4  Remedies and Exceptions. In the case of an indemnification claim by Customer under Section 7.2 above, GfK GeoMarketing may, at its option: (1) procure for Customer the right to continue using the GfK Data and the right to continued enjoyment of the licenses granted under this Agreement; (2) replace or modify the GfK Data so that they become non-infringing but substantially equivalent in functionality; or (3) if neither (1) or (2) is reasonably feasible in spite of GfK GeoMarketing‘s reason-able efforts, GfK GeoMarketing shall have the right to terminate this Agreement and the rights granted herein and refund to Customer the pro rata amount of the license fee for the remaining Term. GfK GeoMarketing shall have no obligation to indemnify Customer under this Section 7.2 if and to the extent that such claim arises from: (i) compliance by GfK GeoMarketing with Customer‘s specifications, if any, (ii) modification of the GfK Data other than by the GfK GeoMarketing or other breach of this Agreement by Customer, or (iii) combination of the GfK Data with software or data other than those supplied from GfK GeoMarketing and the claim relates to such compliance, modification or combination. GfK GeoMarketing shall also not have any obligation with respect to a claim if it has provided Customer with changes that would have avoided the problem and the changes are not fully implemented within a reasonable time.

§ 8 Term and Termination.

§ 8.1  Term. The Order Form shall specify a term for each license ordered by Customer. The term for each license shall automatically renew for successive one-year terms unless terminated earlier (i) on no less than thirty (30) days advance notice prior to a renewal of such license or (ii) in accordance with Section 8.2. This Agreement shall become effective on the Effective Date and continue until the expiration of the last to expire of Customer’s licenses (the “Term”).

§ 8.2  Termination for Cause. This Agreement may be terminated by GfK GeoMarketing for cause immediately if Customer breaches any provision of this Agreement and fails to cure such breach within thirty (30) days of written notice describing the breach. GfK GeoMarketing may terminate this Agreement immediately if Customer participates in any unauthorized use of the GfK Data (including, without limitation, participating in or allowing a third party’s unauthorized use thereof). Customer may discontinue its use of the GfK Data at any time at Customer’s discretion. However the License Fees are non-refundable even if Customer ceases use of the GfK Data.

§ 8.3  Effect of Termination. Immediately upon expiration or termination of this Agreement, Customer will cease its use of the GfK Data and shall return to GfK GeoMarketing all tangible copies (e.g., CDs) of the GfK Data in its possession or control, or, if Customer has received the prior written consent of GfK GeoMarketing, destroy all tangible copies of the GfK Data. Customer shall erase all intangible copies of the GfK Data from Customer’s computer systems. Each party will destroy (and so certify in writing) or return all Confidential Information (as defined below) of the other party which is in its possession or control.

§ 8.4  Survival. In addition to any rights to payment, the following Sections shall survive any termination of this Agreement: 3, 4, 5.3, and 7 through 12.

§ 9 Confidentiality.

During the Term of this Agreement, each party (“Disclosing Party”) may disclose to the other party (“Receiving Party”) information which is the confidential and proprietary information of the Disclosing Party and not generally known to the public (“Confidential Information”). The GfK Data are Confidential Information of GfK GeoMarketing. The Customer Data is the Confidential Information of Customer. The terms of this Agreement are the Confidential Information of both parties. The Receiving Party agrees that during, and for a period of five (5) years after the Term of this Agreement it shall (a) use the Disclosing Party’s Confidential Information only in furtherance of its obligations under this Agreement, (b) not disclose the Disclosing Party’s Confidential Information, except to employees and contractors on a “need to know” basis, in order to allow the Receiving Party to perform under this Agreement, and (c) use at least the same degree of care to protect the Disclosing Party’s Confidential Information as it uses to protect its own Confidential Information, but in no event less than reasonably prudent care. Each of the parties hereto hereby agrees to bind its employees and contractors to the obligations stated in this Section 9. Notwithstanding the foregoing, information shall not be considered Confidential Information if the Receiving Party can document that the same compilation, selection or presentation of information: (i) has been published or is otherwise readily available to the public other than by breach of this Agreement; (ii) it has been rightfully received by the Receiving Party from a third party without confidentiality limitations; (iii) it was known to the Receiving Party without restriction prior to its first receipt from the Disclosing Party; or (iv) was independently developed by employees of the Receiving Party without any access or reference to the Disclosing Party’s Confidential Information. The Receiving Party may disclose the Disclosing Party’s Confidential Information pursuant to a court order, provided that the Receiving Party notifies the Disclosing Party in writing prior to any such disclosure and cooperates with the Disclosing Party’s efforts to oppose such court order.

§ 10 Limited Liability.

§ 10.1 Disclaimer. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW AND EXCEPT FOR INDEMNIFICATION CLAIMS UNDER SECTION 7, NEITHER PARTY SHALL BE LIABLE FOR INCIDENTAL, CONSEQUENTIAL, SPECIAL OR EXEMPLARY DAMAGES INCLUDING, WITHOUT LIMITATION, LOST REVENUE OR LOST PROFITS, EVEN IF SUCH PARTY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. GFK GEOMARKETING SHALL HAVE NO LIABILITY FOR ANY CORRUPTION OR LOSS TO CUSTOMER DATA CAUSED BY THE GFK DATA.

§ 10.2 Limitation. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW AND EXCEPT FOR INDEMNIFICATION CLAIMS UNDER SECTION 7, IN NO EVENT SHALL GFK GEOMARKETING’S LIABILITY TO CUSTOMER OR ANY THIRD PARTY ARISING OUT OF THIS AGREEMENT EXCEED THE TOTAL AMOUNT PAID TO GFK GEOMARKETING BY CUSTOMER HEREUNDER DURING THE TWELVE (12) MONTHS PRIOR TO THE LAST CAUSE OF ACTION OCCURRING. THE FOREGOING SHALL NOT LIMIT OR EXCLUDE LIABILITY FOR DEATH OR PERSONAL INJURY OR OTHER LIABILITIES THAT MAY NOT BE LIMITED OR EXCLUDED UNDER APPLICABLE LAW.

§ 11 Relationship of Parties.

The parties hereto expressly understand and agree that GfK GeoMarketing is an independent contractor in the performance of each and every part of this Agreement and neither party has the ability to bind the other or to incur any obligation on its behalf.

§ 12 General.

§ 12.1 Force Majeure. GfK GeoMarketing shall have no liability for any failure or delay resulting from any governmental action, fire, flood, insurrection, earthquake, power failure, riot, explosion, embargo, strike, labor or material shortage, transportation interruption of any kind, failure caused by telecommunications or internet or service, work slowdown or any other condition beyond the control of GfK GeoMarketing.

§ 12.2 Notices. All notices or reports permitted or required under this Agreement shall be in writing and shall be by personal delivery, facsimile transmission (with confirmation of receipt), nationally recognized courier with tracking capabilities or by certified or registered mail, return receipt requested, and shall be deemed given upon receipt of delivery. Notices and payments hereunder shall be sent to the addresses set forth on the Order Form(s) or such other address as either party may specify in writing.

§ 12.3 Assignment. No party shall have any right or ability to assign, transfer, or sublicense any obligations or benefit under this Agreement without the written consent of the other except that either party may assign and transfer this Agreement and its rights and obligations hereunder without consent to any third party who succeeds to all or substantially all its business, stock or assets, provided that such party gives notice to the other party of such assignment or transfer, contact details for the assignee and transferee, and the assignee or transferee agrees to be bound by the terms and conditions of this Agreement.

§ 12.4 Waiver. The failure of a party to require performance by another party of any provision hereof shall not affect the full right to require such performance at any time thereafter; nor shall the waiver by either party of a breach of any provision hereof be taken or held to be a waiver of the provision itself.

§ 12.5 Severability. If any provision of this Agreement is held to be illegal or unenforceable, such provision shall be limited or eliminated to the minimum extent necessary so that the remainder of this Agreement will continue in full force and effect and enforceable.

§ 12.6 U.S. GOVERNMENT RIGHTS. If Customer is an agency, department, or other entity of the United States Government, or funded in whole or in part by the United States Government, then use, duplication, reproduction, release, modification, disclosure or transfer of this commercial product (GfK Data and accompanying documentation), is restricted in accordance with the LIMITED or RESTRICTED RIGHTS as described in DFARS 252.227-7014(a)(1) (JUN 1995) (DOD commercial computer software definition), DFARS 227.7202-1 (DOD policy on commercial computer software), FAR 52.227-19 (JUN 1987) (commercial computer software clause for civilian agencies), DFARS 252.227-7015 (NOV 1995) (DOD technical data - commercial items clause); FAR 52.227-14 Alternates I, II, and III (JUN 1987) (civilian agency technical data and noncommercial computer software clause); and/or FAR 12.211 and FAR 12.212 (commercial item acquisitions), as applicable. In case of conflict between any of the FAR and DFARS provisions listed herein and this Agreement, the construction that provides greater limitations on the Government‘s rights shall control. Contractor/manufacturer is GfK GeoMarketing GmbH, Werner-von-Siemens-Str.9, Gebäude 6508 D-76646 Bruchsal, Germany (Phone 49 (0) 72 51 / 92 95 - 100 ) and Tele Atlas North America, Inc., 11 Lafayette Street, Lebanon, NH 03766-1445 (Phone: 603.643. 0330). The RegioGraph System is ©1991-2009 by GfK GeoMarketing GmbH, portions ©1984-2007 by Tele Atlas North America, Inc. ALL RIGHTS RESERVED. For purpose of any public disclosure provision under any federal, state or local law, it is agreed that the GfK Data are trade secrets and a proprietary commercial product and not subject to disclosure. Customer shall ensure that all copies of the GfK Data include the above legend.

§ 12.7 Disclosure Requests. If Customer is an agency, department, or other entity of any State government, the United States Government or any other public entity or funded in whole or in part by the United States Government, then Customer hereby agrees to protect the GfK Data from public disclosure and to consider the GfK Data exempt from any statute, law, regulation, or code, including any Sunshine Act, Public Records Act, Freedom of Information Act, or equivalent, which permits public access and/or reproduction or use of the GfK Data. In the event that such exemption is challenged under any such laws, this Agreement shall be considered breached and any and all right to retain any copies or to use the GfK Data shall be terminated and considered immediately null and void. Any copies of the GfK Data held by Licensee shall immediately be destroyed. If any court of competent jurisdiction considers this clause void and unenforceable, in whole or in part, for any reason, this Agreement shall be considered terminated and null and void, in its entirety, and any and all copies of the GfK Data shall immediately be destroyed.

§ 12.8 Export. Customer shall comply with the U.S. Foreign Corrupt Practices Act and all applicable export laws, restrictions, and regulations of the U.S. Department of Commerce, and U.S. Department of Treasury and any other U.S. or foreign agency or authority. Customer will not export or re-export, or authorize the export or re-export of the GfK data, technology or information Customer obtains or learns pursuant to this Agreement (or any direct product thereof) in violation of any such law, restriction or regulation, including, without limitation, export or re-export to Cuba, Iran, Iraq, Libya, North Korea or any other country subject to U.S. trade embargoes, or to any party on the U.S. Export Administration Table of Denial Orders or the U.S. Department of Treasury List of Specially Designated Nationals, or to any prohibited destination in any of the Country Groups specified in the then current Supplement No. 1 to Part 740 or the Commerce Control List specified in the then current Supplement No.1 to Part 738 of the U.S. Export Administration Regulations (or any successor supplement or regulations).

§ 12.9 Controlling Law; Jurisdiction. This Agreement shall be interpreted and controlled by and construed and enforced according to the laws of the State of New York without regard to conflicts of laws provisions thereof that would permit the application of laws of any other jurisdiction. Customer and GfK GeoMarketing each hereby specifically submit themselves to the jurisdiction of the state and federal courts sitting in New York, New York and each agrees that said courts have the sole and exclusive jurisdiction over any and all disputes and causes of action between Customer and GfK GeoMarketing.

§ 12.10 Publicity. At GfK GeoMarketing’s option, the parties agree to issue a mutually acceptable press release promptly following the Effective Date. Except to the extent necessary under applicable laws, the parties agree that all subsequent press releases or other publicity and general public disclosures relating to the existence or substance of the matters contained herein shall not be released without the prior written approval of the other party.

§ 12.11 Headings and Interpretation. The section headings appearing in this Agreement are inserted only as a matter of convenience and in no way define, limit, construe or describe the scope or meaning of this Agreement or any portion hereof. The definitions of the terms herein, including those in the background provisions, shall apply equally to the singular and plural forms of the terms defined and apply for all purposes of interpreting this Agreement. Whenever the context may require, any pronoun shall include the corresponding masculine, feminine and neuter forms. The words “include”, “includes” and “including” shall be deemed to be followed by the phrase “without limitation”. The word “will” shall be construed to have the same meaning and effect as the word “shall”. The word “any” means “any and all” unless otherwise clearly indicated by context.

§ 12.12 Entire Agreement; Modification. This Agreement (together with all Order Forms and Supplements hereto) constitutes the entire agreement between the parties concerning the subject matter hereof. This Agreement replaces and fully supersedes any prior verbal or written understandings, communications, or representations between the parties. This Agreement shall not be modified except by a subsequently dated written amendment signed on behalf of Customer and GfK GeoMarketing by their duly authorized representatives, and any Customer purchase order purporting to supplement or vary the provisions hereof shall be void.

Supplement 1: Special provisions for Tele Atlas products

§ 1  If the license granted covers Tele Atlas Group products, GfK GeoMarketing shall grant the licensee the license as a sub-license. Tele Atlas shall not as a result become a party to the agreement and shall not be contractually committed in excess of the effect of the granting of the license rights to the licensed product.

§ 2  The limitations of the liability (§ 3 of GfK GeoMarketing’s General Terms and Conditions) applicable to the contractual relationship between GfK GeoMarketing and the licensee shall however apply if claims result from the licensed product, also in favor of the companies of the Tele Atlas Group.

§ 3 TeleAtlas has the right to audit the compliance with the licence rights at the licensee side.

§ 4  The licensed products contain confidential and proprietary information and materials as well as company secrets.

§ 5  The licensee undertakes to uphold the export regulations of the USA and the European Union regarding the licensed products, especially the provisions of the Dual Use Directive and the corresponding US provisions prohibiting a transfer of data which could be used for military purposes to certain countries.

§ 6  The licensee is prohibited to use the Tele Atlas MultiNet® data for Norway in order to produce generally usable printed or digital maps that are similar to the underlying national products of the Norwegian Cartography Authority (Any derivative products of the Tele Atlas MultiNet® data of Norway shall be considered as being similar to the underlying national products of the Norwegian Cartography Authority if said derivative products have a regional or national coverage and simultaneously a content, scale and format that are similar to the underlying national products of the Norwegian Cartography Authority).

§ 7  The licensee is prohibited to use the Tele Atlas MultiNet® data for Poland to produce commercially printed road maps or road map products.

§ 8  Licensee will not use the Tele Atlas MultiNet data of the United Kingdom in any printed, published form that results in Enhanced Offering to be distributed freely or sold to the public without prior permission of Ordnance Survey.

Ordnance Survey and/or the National Audit Office shall have the right to audit the compliance with the licence rights at the licensee side.

§ 9  Licensee agrees not to use the Points of Interests (POI) Licensed Products, either in whole or in part, as a factor in (i) establishing an individual`s eligibility for credit or insurance; (ii) connection with underwriting individual insurance; (iii) evaluating an individual for employment or promotions, reassignment or retention as an employee; (iv) in connection with a determination of an individual´s eligibility for a license or other benefit granted by a governmental authority; or (v) for soliciting survivors of deceased persons. Licensee shall not use the POI to create mailing or telemarketing lists.

The POIs can be used only in conjunction with the Tele Atlas products. With the POIs are allowed: Search business name or single category. (No all business searches with the POIs are permitted). No POI Zip code display in summary view is allowed, POI Zip codes may be displayed as one record at time, no more than ten records per page.

§ 10  Licensee agrees that  Tele Atlas® data of China may be subject to additional terms and conditions which shall be provided to Licensee when available to Tele Atlas. China dta may not be exported from China.

§ 11  Licensee agrees that  Tele Alas® data of Taiwan may be subject to additional terms and conditions which shall be provided to Licensee when available to Tele Atlas.
